Search Engine Marketing (SEM) Terms & Conditions
These are the abridged Terms and Conditions of UDA JP Centre’s Search Engine Marketing (SEM) service, which may be updated from time to time by notification in writing. Where a Quotation is executed by UDA JP Centre and the Client, the Quotation together with these Conditions (together “the Agreement”) will constitute a contract between the parties. Where there is any manifest inconsistency between the provisions of these Conditions and the Quotation, the provisions of the Quotation will apply. The terms and conditions of the Agreement shall apply as between the parties in respect of the matters described in the Quotation to the exclusion of all other terms and conditions (including any terms and conditions that the Client purports to apply). Each Agreement entered into between the parties constitutes a separate distinct contract.
1. Acceptance of Terms
1.1
Please read these Terms and Conditions before (“Signing up”) on the Quotation. By (“Signing up”) you are agreeing to be bound by these Terms and Conditions.
1.2
Unless otherwise agreed in writing, the supply of all Services offered by UDA JP Centre PTE LTD and/ or its associates, related parties, successors and assigns (collectively referred to as “UDA JP Centre”) to any persons (hereinafter referred to as “Client”, “you” or “your”) shall be governed by the Terms and Conditions set herein.
2. Payment Terms
2.1
Detailed information regarding our payment terms can be found in the quotation that we will provide to all our clients.
One of our core values lies in maintaining the highest level of integrity with our employees and clients. You can rest assured that UDA JP Centre will continue to support your project until it has been completed, even when full payment has been made. We value your trust in us.
3. Authorization
4.1
If the Client has an existing Google Ad account, the Client is to grant UDA JP Centre access to Google Ads and any other relevant aspects of the SEM Campaign
4. Performance Guarantees
4.1
UDA JP Centre guarantees to place a percentage of advertisements on top of Google’s Search Engine Results Pages (SERPs) of google.com.sg (pages from Singapore).
4.2
UDA JP Centre does not provide any guarantee of lead generation
4.3
The effectiveness of the ad campaign is largely impacted by the advertising budget that is proposed by UDA JP Centre. Should the Client refuse to accept UDA JP Centre's recommended advertising budget, UDA JP Centre will not be held responsible if the performance is unsatisfactory.
5. Commencement of Advertisement Campaign
5.1
The Advertisement campaign will only officially commence upon receipt of payment from the client.
6. Advertisement Budget
6.1
UDA JP Centre will not pay the recurring advertisement budget in advance on behalf of the Client.
6.2
Should the advertising budget be exhausted before payment is made, UDA JP Centre will not be responsible for any decline in campaign performance and UDA JP Centre will only resume the campaign when payment is received.
7. Campaign Commencement
7.1
Before the execution of the campaign, UDA JP Centre will submit the SEM Proposal to the Client for approval. UDA JP Centre will not proceed with the campaign without approval from the Client.
7.2
In the event that the Client’s proposed amendments are not in line with recommendations from UDA JP Centre, UDA JP Centre will provide a written explanation detailing the opposition.
7.3
Throughout the process, the Client will have the right to proceed with their desired changes. However, UDA JP Centre will not be held responsible for any unsatisfactory performance of the SEM campaign.
8. Deliverables
8.1
Upon approval of the SEM proposal from the client, UDA JP Centre will set up the SEM campaign within 30 days.
8.2
UDA JP Centre will also prepare and send a report detailing the results of the SEM Campaign to the Client during the first week of every month.
9.Auto-termination Clause
If an invoice is not paid within 30 days, UDA JP Centre reserves the right to terminate the SEM service.
